This End User Licence Agreement ("Agreement") is a legal agreement between you and [Company Name] for [Product Name], including its documentation and any updates (the "Software"). You may not: • copy, modify, translate or create derivative works of the Software, except as expressly permitted; • reverse engineer, decompile or disassemble it, except to the extent that applicable law expressly permits despite this limitation; • rent, lease, lend, sell, sublicense, distribute or host it as a service for third parties; • remove or obscure any proprietary notice, label or mark; • use it to build a competing product, or to circumvent any licensing, usage or security limit; or • use it in any way that breaches applicable law.

The Software is licensed, not sold. [Company Name] and its licensors retain all right, title and interest in and to the Software, including all intellectual property rights. This Agreement grants you no rights other than the licence expressly stated, and all rights not expressly granted are reserved.

We may provide updates, upgrades, patches and bug fixes at our discretion, and this Agreement governs them unless they are accompanied by separate terms. Updates may be installed automatically to keep the Software secure and compatible. We may modify or discontinue features over time, and we are not obliged to provide support unless a separate support agreement says otherwise.

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. [Company Name] does not warrant that the Software will meet your requirements, operate without interruption, or be free of defects. Some jurisdictions do not allow these exclusions, so parts of this section may not apply to you.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, [Company Name] WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR BUSINESS INTERRUPTION, arising out of or relating to the Software. Our total liability will not exceed the amount you paid for the Software in the twelve months preceding the claim. Nothing excludes liability that cannot lawfully be excluded.

This Agreement takes effect when you first install or use the Software and continues until terminated. It terminates automatically if you breach any of its terms, and we may also terminate it on notice if we discontinue the Software. On termination you must stop using the Software and delete or destroy all copies in your possession. Sections on ownership, disclaimers, liability and governing law survive termination.

You agree to comply with all applicable export control and sanctions laws. You represent that you are not located in an embargoed country, and that you are not on any restricted-party list, and you agree not to export or re-export the Software in breach of those laws.

This Agreement is governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules, and the courts located there have exclusive jurisdiction over any dispute arising from it. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

This Agreement is the entire agreement between you and [Company Name] concerning the Software and supersedes any prior understanding. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. You may not assign this Agreement without our written consent.
